Frequently Asked Questions

CaptableHero is a comprehensive cap table management platform that helps companies manage their equity, track shareholder ownership, issue certificates, process distributions, and maintain accurate records of all equity transactions.

As a Company Admin, you can manage all aspects of your company's cap table: create and manage shareholders, issue and manage share certificates, create and process distributions, manage payments, review and approve form requests (legal name changes, share transfers), manage company users, view audit logs, track logins, and configure company settings.

Navigate to the Shareholders page and click "Add Shareholder". Fill in the shareholder's information including name, email, address, entity type, and other required details. You can also import shareholders in bulk if needed.

Go to the Certificates page and click "Issue Certificate". Select the shareholder, enter the certificate number, share class, number of shares, and issue date. You can also revise or cancel existing certificates as needed.

Navigate to the Distributions page and click "Create Distribution". Enter the distribution details including name, type (dividend, capital return, etc.), total amount, per-share amount, and record date. Once created, you can approve and process the distribution to automatically calculate payments for all shareholders.

Distribution payments are automatically calculated based on each shareholder's total number of shares and the per-share amount you specify. The system multiplies the per-share amount by each shareholder's total shares to determine their payment amount.

Shareholders can choose from ACH transfer, wire transfer, or check. You can view each shareholder's payment method preference in their profile. Payments are processed according to the method each shareholder has selected.

Go to the Form Requests page to see all pending requests from shareholders, including legal name change requests and share transfer requests. You can review each request, view associated messages, add notes, and approve or reject requests. Approved requests will automatically update the relevant records.

Company Admins have full management capabilities: they can create, edit, and delete shareholders, certificates, distributions, and payments. Company Viewers have read-only access and can view all company data but cannot make changes.

Navigate to the Users page and click "Add User". Enter the user's email and assign them either Company Admin or Company Viewer role. They will receive an invitation email to set up their account.

Yes! The Audit Logs page shows a complete history of all changes made to shareholders, certificates, distributions, and other company data. Each entry includes who made the change, when it was made, and what was changed.

The Logins page shows all login activity for your company, including successful logins, failed login attempts, and login locations. This helps you monitor account security and ensure shareholders are accessing their accounts.

Go to the Company page to configure settings such as company name, address, authorized signatory information for certificates, and other company details. These settings are used throughout the platform for documents and communications.

No. Shareholders can only view their own information, certificates, distributions, and payments. Privacy is strictly maintained - each shareholder only sees their own data.

You can send messages to shareholders through the Messages feature. Shareholders can also send messages to you, and you'll see them in your inbox. Messages are organized by thread for easy conversation tracking.

The request appears in your Form Requests page. You can review the request, see the current and requested legal name, view any associated messages, and approve or reject the request. Once approved, the shareholder's legal name will be updated automatically.

When a shareholder requests to transfer shares, the request appears in Form Requests. Review the request details including the certificate, number of shares, and recipient information. You can approve the transfer, which will create a new certificate for the recipient and update or cancel the original certificate.

Yes, you can export shareholder lists, certificate data, distribution records, and other company information from the respective pages. Look for export buttons or download options in the data tables.

Each shareholder has an account checklist that tracks their onboarding progress. You can see which shareholders have completed required steps like reviewing certificates, setting up their profile, and submitting W-9 forms. This helps ensure all shareholders are properly set up to receive distributions.

Shareholders need to complete their profile with basic information (name, email, phone), address, entity details (entity type, legal name, tax ID), payment method preferences, and submit a W-9 form. This information is required for processing distributions and maintaining accurate records.

Pricing is based on the number of shareholders in your company. There's a base monthly fee plus a per-shareholder fee. You can have unlimited Company Admin and Company Viewer users - pricing is not based on admin users, only shareholders.

Yes! If you have access to multiple companies, you can switch between them using the company selector in the navigation. Each company has its own cap table, shareholders, and settings, and is billed separately based on its own shareholder count.
